Shine Lawyers prepares to file Cochlear shareholder class action after investors suffer billions in losses

Shine Lawyers is preparing to file a shareholder class action against Cochlear Limited following a months-long investigation into whether the company breached its continuous disclosure obligations and engaged in misleading or deceptive conduct.
The investigation concerns Cochlear's FY26 financial guidance and two subsequent downgrades. After Cochlear revised its guidance on 13 February 2026, its share price fell by almost 19 per cent. A further downgrade announced on 22 April 2026 was followed by a fall of more than 40 per cent, wiping billions of dollars from Cochlear's market value and causing significant losses for investors.
Shine Lawyers has spent months examining Cochlear's disclosures, its basis for issuing and maintaining the guidance released on 15 August 2025, and whether material information should have been disclosed to the market earlier.
The proposed class action could cover a large number of retail and institutional investors who acquired an interest in Cochlear securities between 15 August 2025 and 21 April 2026 inclusive.
Shine Lawyers Practice Leader Jonathan Wertheim said the scale of the market reaction reflected the seriousness of the issues under investigation.
"Behind the headline share-price falls are people whose savings, superannuation and financial plans may have been materially affected," Mr Wertheim said.
"For many investors, these were not abstract losses on a screen. They may represent years of careful saving, retirement income or funds set aside for their families and futures."
"We are nearing completion of a detailed, months-long investigation into Cochlear's FY26 guidance and the timing of the information it later released to the market. Based on that investigation, we anticipate commencing proceedings in the near future."
"Our investigation includes whether Cochlear's forecasts were based on unrealistic expectations for the launch, uptake and profitability of its 'Nexa' products. We are also considering whether Cochlear's repeated financial downgrades are indicative of any systemic forecasting issues."
"The sharp falls following the February and April downgrades affected a range of investors. We are focused on securing accountability and seeking compensation for eligible shareholders, if they have suffered loss because of any contraventions of the law by Cochlear."
The investigation is examining whether Cochlear:
had reasonable grounds for issuing and maintaining the FY26 guidance released on 15 August 2025;
should have disclosed its downgraded FY26 guidance earlier than 13 February 2026; and
should have disclosed its further downgraded FY26 guidance earlier than 22 April 2026.
Shine Lawyers is investigating whether these matters involved breaches of Cochlear's continuous disclosure obligations and/or misleading or deceptive conduct.
Investors may be eligible to participate if they acquired an interest in Cochlear securities between 15 August 2025 and 21 April 2026 inclusive.
